The following terms and conditions apply to all between relationships, between you, the client, and ourselves The Typeface Group Limited (TFG). By commissioning TFG to work on any marketing project, or aspects of, you are agreeing to these terms in connection with our services.
Estimates & Invoicing
All projects will be given a written quote of the cost in advance of the project commencing. The quote will be an estimate based on how much time we expect to spend on the project. It will also include the expected cost of bought-in and/or subcontracted goods and services.
Unless we have agreed a fixed fee in advance, our work will be charged out on an hourly/daily/monthly basis.
The final cost of a project will sometimes vary from the original quote supplied for a variety of reasons including;
- Changes made by the client to the expectations of project that we deem to be significantly different from the original agreement.
- The client delaying, defaulting, or otherwise significantly disrupting the project and its agreed timescales.
- Unexpected increases in our overheads or expenses.
- Circumstances occurring that are not reasonably within our control.
- We will advise you in writing if this occurs before charging further costs.
- In connection with your project, we will charge you for any materials and services we buy in from outside suppliers.
For most bought-in goods or services, we will charge you at cost plus a minimum 17.5 per cent handling fee. The same percentage will be applied to incidental costs such as taxis and deliveries.
You must pay our invoices in full within 14 days of the invoice date for any work carried out. Press Office services, print, website design, retainers, training and deposits will need to be paid for up front before any work or services are provided. We will charge interest on any arrears not paid after 14 days, at the rate of eight per cent annum on the outstanding balance until we have had payment in full plus any administration fees.
If you pay by cheque an additional cost of £1 will be added to invoices to pay towards the processing. As from the 1st of June 2016, The Typeface Group will no longer accept cheques due to the increase in processing costs.
Any VAT on our fees and other charges that is payable to us or to a third party, will be on our invoices.
Each client will have a credit limited with the TFG which, if reached or exceed, means TFG have the right to cease work for any overdue or unpaid work. This credit limit is based on;
- ongoing work with TFG ie retained work V ad-hoc needs
- payment history with TFG
- an agreed amount with the client
And is set to prevent the client getting into financial difficulty as well as safeguarding TFG as a business. The default amount of credit is £250 + VAT for retained clients and £100 + VAT for ad-hoc work.
We require a minimum of 1 calendar months notice of any “ongoing” or retained services that you receive that you wish to cancel.
If you cancel your order or training without reasonable notice the monies paid will not be refundable.
If you cancel your space on group training course less than 2 weeks before the training is about to commence, the monies will not be refunded and will be used to re-market the space. Cancelling with 2 – 4 weeks notice and you will receive a 50% refund, anything over 4 weeks and you will receive a 75% refund. If TFG has to cancel a course you will be given the option to join a subsequent date or to receive a refund.
Image Retention, Archive, Destruction & Liability
The original digital files will be retained indefinitely from the date of the sitting. The Client will indemnify The Typeface Group against all claims, liability, damages, costs and expenses, including legal fees and expenses as a result of
The Client will indemnify The Typeface Group against all claims, liability, damages, costs and expenses, including legal fees and expenses as a result of using images or images modified by the Client for which no permission was granted. If no release exists in writing then no release or permission exists. The Client indemnifies The Typeface Group against all claims, liability, damages and expenses incurred in connection with any third party claim arising out of the use of such material. The liability for any claim is limited to the total invoice amount.
Legalities & Rights
All copyright and other intellectual property rights in connection with our work on clients’ projects, belong to us alone. Unless otherwise agreed.
All images and content on this website are under the copyright of The Typeface Group. You may not sell or licence any of these images nor republish our content without the written permission of the business.
Copyright in all material is retained worldwide by The Typeface Group at all times and nothing shall be deemed as a release, transfer, assignment or other disposal of The Typeface Groups rights in the material.
Once a project is complete and our invoices for it have been paid in full, you have the right, known as a license, to use our design work, for the purpose intended.
If you supply us with any work to incorporate into a design or in connection with the project, it is your responsibility to make sure that;
- you already own the copyright and all other rights in the work or
- you have the necessary license or other legal permission to use and reproduce it and
- our use of it will not infringe any third party rights
If you do not comply with these obligations, you accept that you will compensate us for any claims, damages, legal action or expenses we face as a result.
You must not alter or modify any of our designs or other work without our agreement. If you have our agreement, the changes must be made by us or under our supervision, at an hourly rate agreed between us.
Both you and we agree to do everything reasonably possible to protect each other’s confidentiality.
If you let us have any items or material, you do so at your own risk. We are not responsible if they are subsequently lost or damaged.
We have the right, by writing to you, to cancel any commitments we have made,
If you break any of your obligations under this agreement,
If you substantially change or call a halt to a project while it is still in progress.
If you do break your obligations or if we cancel our commitments, you will immediately be responsible for paying any fees and expenses resulting from us carrying out your instructions up to the date of cancellation.
If you cancel a project, or place it on hold indefinitely, at any stage, we may invoice you in full;
- for all the work we have done up to that point, at our usual hourly rate,
- for any costs we face for outside supplies already ordered for the project.
If you call a halt to a project before it is finished, you have no copyright licence or similar rights in the work we have done so far. Nor can you make use of our work or exploit it in any way.
We are entitled to sub-contract any of the work to be carried out on your project.
TFG estimate the amount of opportunities that each business will receive as an average over the year and guarantee no more that 30 opportunities across the course of 12 months. Access to high-quality images (300 dpi) is a standard requirement of this service as is timely responses to emails. TFG do not guarantee any features or coverage.
All coverage achieved, unless expressed by the client in writing before the coverage has gone live, will be shared by The Typeface Group and used as part of their marketing materials.
If Press Office services are cancelled The Typeface Group will only continue to chase ‘warm’ coverage leads for up to 3 months.
The free trial is for new Press Office customers only. Only one trial per business is allowed.
PHOTOGRAPHY & IN-HOUSE STUDIO SHOOTS & HEADSHOTS AT THE TYPEFACE GROUP
By making a booking, you are agreeing to these Terms and Conditions.
The 1988 Copyright Act assigns the copyright of the photographs to The Photographer(s). It is, therefore contrary to the Act, and illegal, to copy photographs, or allow to be copied, by any means photographic or otherwise, by any person or machine other than by The Photographer(s) or their appointed agents. The Client shall not reproduce, in any form, including but not limited to photocopying, scanning, displaying on a computer, and on the internet images created by The Typeface Group without prior written agreement and terms.
The client agrees that The Typeface Group has the unrestricted right and permission to copyright and use, re-use, publish, and republish photographic portraits or images produced for the client made through any and all media for illustration, art, promotion, advertising, trade, or any other purpose whatsoever.
We do offer a ‘no advertisement’ contract which prevents us from showcasing any images from your photo shoot in any form of advertisement. This can be obtained prior to your shoot by contacting us directly.
Payment Terms & Cancellation
You will be sent an invoice as soon as your booking is made. Our payment methods are clearly stated on the invoice.
Payments for photo shoots are 100% of your chosen package and are non-refundable, but can be transferred to a different date and time once only if done so with at least 5 working days notice. Transfers cannot be made to other services or products.
Once a booking has been made you will receive a confirmation email and 50% deposit invoice. Please check all details of this email and invoice. Contact The Typeface Group immediately if there are any errors. Photo shoots that are cancelled less than 48 hours before the booked time will lose their payment. Photo Shoot Bookings that fail to show will lose their payment. No shows, after 15 mins of shoot start time without notification of running late or unable to make sitting, sitting will be cancelled without refund.
The Photographer shall not be liable to the customer for any failure, in whole or in part, to fulfil their obligations under an order where failure arises as a result of an event or circumstances beyond their control, which may include (but are not limited to) equipment failure, inclement weather, illness or injury.
We respect your confidentiality; your personal information, contact details and payment information will not be shared with any other company.
Health & Safety Policy
The Typeface Group is fully insured for public and employee liability.
The Typeface Group takes every reasonable effort to ensure the studio premises and equipment is deemed as suitable and safe for all users at all times. The Client is fully responsible for their own action, and responsible for the children they are in the accompany of, and any damages or breakages to the property that incur as a result of the Clients action shall be the responsibility of the Client to pay or rectify as agreed with The Typeface Group. Photographic sessions can involve some physical activity, which is undertaken at your own risk.
We do not accept any responsibility for loss or damage to any personal belongings in or outside the studio premises.
We request that all clients advise of any special or medical requirements, including sensitivity to flashing lights, prior to the photo shoot booking.
Digital Images (or ‘CDs of Images’ and ‘USB sticks’), stock images and all downloadable imagery is non-refundable due to the nature of the product. Customers that purchase digital images, we cannot guarantee print quality from your own supplier. You accept that a photograph when enlarged may lose some definition and that a colour variation may occur especially when comparing to on screen proofs and visuals to a printed, finished product(s).
We aim to deliver a folder of ‘Preview’ images 24-48 hours after the shoot itself, to check editing style and to give you some material for your own use. Our standard full editing time for all photo shoots (from receipt of ‘Preview’ images, to online) is 10 working days. You will be sent a Google Drive link to your photos, so that you can download and keep them yourself. This link will expire after 30 days.
